This Agreement constitutes a legally binding contract between you and Vendyz, effective as of the date you first access or use our services. If you are using the Platform on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms and that such entity accepts these Terms.
Vendyz reserves the right to update, amend, or modify this Agreement at any time, and any changes will be effective immediately upon posting the revised Terms on the Platform. Your continued use of the Platform following the posting of any changes signifies your acceptance of such changes.
2. User Conduct
Vendyz is committed to maintaining a positive, safe, and lawful environment for all users. By using our Platform, you agree to abide by the following rules of conduct:
A. Lawful Use
You agree to use Vendyz solely for lawful purposes and in compliance with all applicable laws and regulations. You are prohibited from using Vendyz for any activity that is unlawful, harmful, or violates the rights of others, including:
Fraudulent Activity: Engaging in any activity intended to defraud, mislead, or deceive others, including providing false or misleading information.
Illegal Transactions: Attempting to buy, sell, or distribute any illegal goods or services.
Intellectual Property Violations: Infringing upon the intellectual property rights of others, including trademarks, copyrights, or patents.
Harassment and Abuse: Using Vendyz to harass, threaten, or abuse others, including sending spam, offensive content, or engaging in cyberbullying.
Security Breaches: Attempting to bypass security features, introducing malicious code (e.g., viruses, worms, or Trojan horses), or otherwise disrupting the operation of Vendyz.
B. Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account. You must notify Vendyz immediately if you suspect any unauthorized use of your account. Vendyz will not be liable for any losses or damages arising from unauthorized access to your account.
C. Accurate Information
When creating an account, you agree to provide accurate, current, and complete information. Providing false or incomplete information may result in the suspension or termination of your account.
3. Intellectual Property
A. Ownership of Content
All content, including text, graphics, logos, images, videos, software, and other materials available on the Platform (collectively, the “Content”), is the exclusive property of Vendyz or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, distribute, modify, or create derivative works from any Content without express written permission from Vendyz or the appropriate copyright owner.
Trademarks: The Vendyz name, logo, and any associated branding are trademarks owned by Vendyz Technologies. You are not permitted to use these trademarks without prior written consent from Vendyz.
B. User-Generated Content
If you submit, post, or upload content (including reviews, comments, images, or other contributions) to Vendyz, you grant Vendyz a worldwide, perpetual, non-exclusive, royalty-free license to use, reproduce, modify, display, distribute, and create derivative works from such content for the purposes of operating and promoting the Platform. You represent and warrant that any content you submit does not infringe on the intellectual property rights of others.
C. Third-Party Content
Vendyz may contain links or references to third-party websites, services, or products that are not owned or controlled by Vendyz. We are not responsible for the content or practices of these third-party sites and make no representations or warranties regarding their content or accuracy. You access and use third-party websites at your own risk, and we encourage you to review their terms and privacy policies before engaging with them.
4. Disclaimer of Warranties
A. No Guarantee of Product Quality or Authenticity
Vendyz is a platform that facilitates transactions between buyers and sellers. While we strive to ensure that the products and services listed on our Platform meet certain standards, Vendyz does not guarantee the quality, safety, legality, or authenticity of any products or services offered by third-party sellers. All transactions are conducted at the buyer’s and seller’s own risk, and Vendyz disclaims all responsibility for disputes arising from such transactions.
Buyer Discretion: Buyers are encouraged to conduct their due diligence before making a purchase. Vendyz does not verify or validate product claims made by sellers.
B. Service Availability
Vendyz makes every effort to ensure that the Platform is available and functioning at all times. However, we do not guarantee that the Platform will be available uninterrupted or free from errors, defects, or security vulnerabilities. Vendyz is not responsible for any downtime, technical issues, or loss of data that may occur while using our services.
C. Disclaimer of Liability
Vendyz provides the Platform on an “as-is” and “as-available” basis, without any warranties of any kind, either express or implied. To the fullest extent permitted by law, Vendyz disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Vendyz does not warrant that the Platform will meet your specific requirements or that any errors or defects will be corrected.
Limitation of Liability: Vendyz, its directors, employees, affiliates, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of the Platform, even if we have been advised of the possibility of such damages.
5. Governing Law and Jurisdiction
This Agreement, and any disputes arising from or related to the use of Vendyz, shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Any legal actions or proceedings arising out of or related to this Agreement or the use of the Platform shall be exclusively brought in the courts located in Nigeria, and you hereby consent to the jurisdiction of such courts.
A. Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to the use of Vendyz, both parties agree to first attempt to resolve the issue through good-faith negotiation. If negotiation does not resolve the issue, either party may submit the dispute to binding arbitration, in accordance with Nigerian arbitration rules.
6. Termination of Use
Vendyz reserves the right, at its sole discretion, to terminate or suspend your account and access to the Platform at any time, without prior notice, for any reason, including but not limited to the following:
Breach or violation of these Terms and Conditions.
- Engaging in prohibited or illegal activities.
- Misrepresentation or fraudulent behavior.
- Inactivity or non-use of your account for an extended period of time.
Upon termination of your account, you will no longer have access to your user profile, orders, or any data associated with your account. Vendyz is not responsible for retaining or recovering any data once an account is terminated.
7. Privacy Policy
Your use of Vendyz is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data. By using Vendyz, you consent to the collection and processing of your information as outlined in the Privacy Policy.
8. Modifications to the Terms
Vendyz reserves the right to modify these Terms and Conditions at any time. We will notify you of any material changes by posting an updated version on our Platform, along with the effective date of the changes. It is your responsibility to review the Terms regularly to stay informed about any modifications. Your continued use of Vendyz after the changes take effect constitutes your acceptance of the revised Terms.
9. Miscellaneous
A. Entire Agreement
These Terms and Conditions, together with our Privacy Policy, Refund Policy, and any other applicable policies, constitute the entire agreement between you and Vendyz with respect to your use of the Platform.
B. Severability
If any provision of this Agreement is found to be invalid or unenforceable, that provision shall be severed from the remainder of the Agreement, and the remaining provisions will continue to be valid and enforceable.
C. No Waiver
Failure by Vendyz to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
D. Assignment
You may not assign or transfer any of your rights or obligations under this Agreement without the prior written consent of Vendyz. We may assign or transfer our rights and obligations to any third party without restriction.
